1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of the website, software, dashboards and services provided by Business Max ("we", "us", "our"). By visiting our website, registering a store, subscribing to a plan or using any of our products, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Who We Are

Business Max provides business consulting, digital marketing, website design and retail management software — including POS & billing, stock and inventory management, sales analysis, distributor portals, public online storefronts, Google Business Profile and review management — for retail and local businesses in India.

3. Eligibility

You must be at least 18 years old and competent to enter into a binding contract under the Indian Contract Act, 1872 to use our services. By accepting these Terms you confirm that the information you provide is accurate and that you are authorised to act on behalf of any business you register.

4. Our Services

Depending on the plan or engagement you choose, our services may include:

• Retail software — POS billing, GST billing, stock & inventory management, sales and staff reporting, and distributor/retailer portals
• Public storefront — a hosted online catalogue at a public link, with product photos and, where you enable it, product videos
• Review management — customer review pages, QR review links and, where available, Google Business Profile sync and AI-assisted replies
• Digital services — website design, Google Business Profile setup, local SEO, Google Ads and social media management
• Consulting — business analysis, audits and growth advisory

Service features vary by plan. We may add, change or withdraw individual features over time to improve the platform.

5. Registration & Account Security

Some services require a store or user account. You are responsible for:

• Providing accurate, current and complete registration details
• Keeping your login credentials and POS passwords confidential
• All activity that occurs under your account, including by your staff or cashiers
• Notifying us immediately of any unauthorised use or security breach

You must not share an account with another business or use it for any unlawful purpose.

6. Plans, Subscriptions & Payments

Certain modules (such as the public storefront, advanced reports and review management) require a paid subscription. Plans, prices and what each plan includes are shown on our Pricing page and inside your dashboard.

• Payments are collected in Indian Rupees through our payment gateway partner (Razorpay). We do not store your full card or payment credentials on our servers.
• Subscriptions are for the period stated at the time of purchase (monthly or yearly). Storefront plans are billed yearly.
• Unless required by law, subscription fees are non-refundable for a period already used. Refunds, where applicable, are governed by our Refund Policy.
• Prices and plan limits (such as the number of products a storefront shows) may change; we will give reasonable notice before a change affects your active plan.
• Applicable taxes (such as GST) may be charged in addition to the listed price.

7. Free Use, Trials & Quotas

Some features are offered free, with usage limits (for example, a free POS invoice or product count). These limits are described in the product and may be changed. Free use is provided as-is and may be discontinued or modified at any time.

8. Your Responsibilities & Acceptable Use

You agree not to, and not to permit anyone else to:

• Use our services for any illegal, fraudulent or misleading activity
• Upload content that infringes another person's rights, is obscene, defamatory or unlawful
• Attempt to gain unauthorised access to our systems, other stores' data or other users' accounts
• Reverse engineer, resell, sub-license or copy the software, or interfere with its normal operation
• Send unsolicited bulk messages, spam or abusive review communications through any feature

You are solely responsible for the accuracy of the business, product, price, tax and customer information you enter, and for complying with the laws that apply to your business.

9. Your Content & Data

You own the business data, product details, images, videos and customer information you add to the platform ("Your Content"). You grant us a limited licence to host, process and display Your Content only as needed to provide the services you have requested. You are responsible for ensuring you have the right to use any content you upload, including product photos and YouTube video links.

10. Third-Party Services

Some features rely on third-party providers, including Google (Firebase, Analytics, Business Profile), WhatsApp (Meta) and Razorpay. Your use of those features is also subject to the third party's own terms and policies. We are not responsible for the availability, accuracy or conduct of third-party services, and some features (such as Google Business Profile sync) depend on approvals and access that only the third party can grant.

11. Intellectual Property

The software, website, design, logos, text and underlying technology of Business Max are owned by us or our licensors and are protected by applicable intellectual property laws. These Terms do not transfer any ownership to you. You receive a limited, non-exclusive, non-transferable right to use the services for your business during your subscription.

12. Google Business Profile & Reviews

Review features are provided on a best-effort basis. Connecting a Google Business Profile requires access and approval granted by Google, and some capabilities (such as automatic review sync or AI-generated replies) may be unavailable until that access is granted. We do not create, edit or delete your Google reviews, and we do not guarantee any particular rating, ranking or outcome.

13. Service Availability, Changes & Suspension

We aim to keep the services available but do not guarantee uninterrupted or error-free operation. We may suspend, restrict or modify access — including suspending a storefront or account — where required for maintenance, security, legal reasons, non-payment, or a breach of these Terms. Where practical, we will inform you of any suspension and the reason.

14. Disclaimers

The services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including fitness for a particular purpose. Business decisions you take based on our software, reports or consulting are your own responsibility.

15. Limitation of Liability

To the maximum extent permitted by law, Business Max shall not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the services. Our total aggregate liability for any claim shall not exceed the fees you paid to us for the affected service in the twelve (12) months preceding the claim.

16. Indemnity

You agree to indemnify and hold harmless Business Max, its team and partners against any claims, losses or expenses arising from your use of the services, Your Content, or your breach of these Terms or of any applicable law.

17. Termination

You may stop using the services at any time. We may terminate or suspend your access if you breach these Terms. On termination, your right to use the services ends; we may retain or delete data as described in our Privacy Policy and as required by law. Sections relating to intellectual property, disclaimers, liability, indemnity and governing law survive termination.

18. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Mysuru, Karnataka, India.

19. Changes to These Terms

We may update these Terms from time to time. Changes are posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
